This page outlines the legal agreement between you, the customer, and Lex Business Equipment Ltd regarding the use of our producsts and services.

Before using our services, we encourage you to take a moment to review our Terms and Conditions. They outline your rights and responsibilities when working with Lex and are designed to ensure transparency and clarity in our relationship.

pricing +

Prices will be charged based on the rates in effect at the time of dispatch. All prices are exclusive of VAT, which will be applied at the prevailing rate on the invoice date. For agreements older than three months, Lex reserves the right to adjust prices in line with any increases in the cost of goods from our suppliers. Prices for paper and consumables are valid for 30 days unless otherwise stated.

special orders +

Orders for products not included in our catalogues or price list supplied against the purchase order, are non-returnable.

own label goods +

For any goods produced to the Buyer’s specification and/or branded with the Buyer’s or their customer’s name (referred to as "own label goods"), the Buyer agrees to purchase all related stock, both finished and unfinished, that Lex holds for the purpose of fulfilling their orders, at the agreed contract price. This obligation remains in place even if the contract comes to an end. Upon termination of any agreement involving own label goods, the Buyer will accept and pay for all such stock held by Lex at the contract rate.

claims & returns +

Goods that have been correctly supplied according to your order are non-returnable unless agreed in advance. Any returns must be in their original packaging and in a resaleable condition.

Faulty or damaged items should be reported within 24 hours of delivery.
Picking errors must be reported within 48 hours of delivery.
Shortages should be reported within 24 working hours from the date of delivery.
Returns for items no longer required must be requested within 10 working days. Where manufacturer restocking fees apply, we may pass on some of these charges.

retention of title / all monies clause +

(a) Risk in the goods passes to the Buyer as soon as they are delivered into the physical possession of the Buyer, their agents, or as otherwise directed. However, Lex retains full legal and beneficial ownership of the goods until all outstanding sums owed by the Buyer have been paid in full. Until then, the Buyer holds the goods as bailee for Lex and is deemed to acknowledge this status. The Buyer must store the goods separately and clearly identify them as supplied by Lex.

(b) The Buyer’s right to possession of goods for which full payment has not been made will end immediately if the Buyer, as an individual, commits an act of bankruptcy, or if a company, enters receivership or is subject to winding-up proceedings. In such cases, Lex reserves the right to enter any premises where the goods are reasonably believed to be stored, with or without vehicles, and to repossess them.

(c) Until the invoice is paid in full, the Buyer may process the goods or sell them in the ordinary course of business, acting as Lex’s agent. Any proceeds from such sales must be held in trust for Lex and used to satisfy the outstanding amount owed.

payments +

Cheques should be made payable to Lex Business Equipment Ltd, and crossed A/c Payee Only not negotiable. Each payment remains the responsibility of the buyer until such time it is actually received and acknowledged by the seller. Unless otherwise agreed in writing, payment will be made by the buyer by the end of the month following the month of invoice.

late payments +

Each delivery made under the contract will be treated as a separate sale, based on the specific weight, description, or quality of the goods supplied.

Unless otherwise agreed in writing, payment for each delivery is due on the date of delivery. Timely payment is a condition for the continuation of any further deliveries.

Please note that any accounts exceeding our credit terms will be referred to our debt recovery agency, Clough & Willis. A surcharge of 15% plus VAT will be applied to cover recovery costs. Legal fees incurred in the collection process will also be charged. The customer agrees to the jurisdiction of the Birkenhead County Court for resolving any disputes.

In the event of any loss, damage, or delay to goods delivered at our risk, the Buyer must notify Lex in writing immediately upon receipt (or at the expected time of delivery, if undelivered). The Buyer must also notify the carrier in writing and, where possible, record the issue on the delivery receipt. If failure to notify prevents Lex from recovering losses from the carrier, the Buyer will remain liable for payment as though the goods had been delivered in full and in good condition.

delivery +

The seller will endeavour to deliver the goods within the time agreed, or within a reasonable time if no time is agreed, but in no circumstances will the seller be liable for loss or damage of any kind whatsoever caused directly or indirectly by the delay in the delivery of the goods.

catalogues +

The seller will not be liable for any loss or damage of any kind whatsoever caused directly or indirectly by the non supply of any of the goods displayed in the catalogue.

statement of Lex Business Equipment Ltd policy regarding qa sources +

Wherever possible, Lex Business Equipment Ltd sources products from Quality Assured suppliers, including those operating under the ISO 9000 series of international standards.

Quality Assured items are clearly marked on our delivery documents with a "QA" prefix in the product description. All other products are checked and verified by Lex to ensure they meet our internal quality standards.
